Terms of Service

Welcome to GetYourCA. Please read these Terms of Service ("Terms") carefully before using our Platform. By accessing or using https://getyourca.in, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them.

If you do not agree to these Terms, you must not access or use the Platform.

1. About GetYourCA

1.1 Nature of the Platform

GetYourCA is an independent technology platform that facilitates access to compliance-related tools, resources, and connections with independent professionals, including Chartered Accountants (CAs), Company Secretaries (CSs), and other financial experts. You expressly acknowledge that: • GetYourCA is not a Chartered Accountant firm and does not itself provide CA, legal, tax, or professional advisory services. • GetYourCA is not affiliated with, endorsed by, or connected to the Institute of Chartered Accountants of India (ICAI) or any regulatory body. • Services on the Platform are either automated tools or rendered by independent third-party professionals who are not employees or agents of GetYourCA. • GetYourCA does not guarantee any specific outcome, including regulatory approvals, filing acceptance, or tax results.

1.2 Platform Services

The Platform currently facilitates or provides access to services including, but not limited to: • ITR filing and income tax compliance assistance • GST registration and return filing • Company/LLP/OPC incorporation and compliance • Trademark registration and IP services • Automated compliance tools and document generation • Connection with independent CA/CS professionals

2. Eligibility

To use the Platform, you must: • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher. • Be legally competent to enter into binding contracts under the Indian Contract Act, 1872. • Be a resident of India or have a valid Indian tax/business identity if availing compliance services. By using the Platform, you represent and warrant that you satisfy all eligibility requirements. GetYourCA reserves the right to suspend or deny access if eligibility requirements are not met.

3. User Account and Sign-Up

3.1 Account Creation

To access certain features, you may be required to register for an account. You agree to: • Provide accurate, complete, and current information during registration. • Maintain the confidentiality of your login credentials. • Notify us immediately at connect@getyourca.in if you suspect any unauthorized use of your account. • Accept responsibility for all activities that occur under your account.

3.2 KYC and Identity Verification

Certain services may require Know Your Customer (KYC) verification. You may be asked to provide: • Government-issued identity proof (Aadhaar, PAN, Passport, etc.) • Address proof • Business registration documents (where applicable) • Bank account details, cancelled cheque, or UPI information (where applicable) GetYourCA reserves the right to decline services if satisfactory KYC documentation is not provided.

4. User Responsibilities

By using the Platform, you agree that you are solely responsible for: • The accuracy, completeness, and legitimacy of all information, documents, and data submitted through the Platform. • Reviewing all documents, returns, and filings prepared on your behalf before submission to government authorities. • Independently verifying the status of filings on official government portals (e.g., Income Tax e-filing portal, MCA21, GST portal). • Ensuring compliance with all applicable laws, rules, and regulations. • Maintaining records of all submissions, acknowledgments, and correspondence related to services availed. GetYourCA shall not be responsible for any errors, omissions, penalties, interest, or losses arising from incorrect, incomplete, or misleading information provided by you.

5. No Professional Relationship

Use of the Platform does not create: • A Chartered Accountant‑client relationship between you and GetYourCA. • A legal advisor‑client relationship. • Any fiduciary, agency, partnership, or employment relationship. Any engagement with a professional connected through the Platform is an independent arrangement between you and that professional. GetYourCA is not a party to such arrangements and bears no liability in respect of them.

6. Third-Party Professionals and Services

6.1 Independent Professionals

The Platform may connect you with independent CAs, CSs, advocates, and other professionals ("Advisors"). You acknowledge that: • Advisors are independent professionals, not employees, agents, or partners of GetYourCA. • Each Advisor may have their own terms and conditions, which you are advised to review before engaging. • GetYourCA does not control, supervise, guarantee, or endorse the advice, filings, or services provided by any Advisor. • You are solely responsible for verifying the credentials, registration, and suitability of any Advisor.

6.2 Third-Party Service Providers

The Platform may integrate third-party tools, payment gateways, or service providers. GetYourCA is not liable for their acts, omissions, errors, or service quality. Such providers are governed by their own terms and privacy policies.

7. Payments and Refunds

7.1 Fees

Fees, if applicable, are charged for Platform access and service facilitation. All fees are exclusive of applicable taxes including GST. Prices are subject to change with reasonable notice.

7.2 Refund Policy

Refunds will be considered in the following circumstances: • Platform technical failure preventing service delivery. • Duplicate payment for the same service. • Non-delivery of service where no work has commenced by the assigned professional or team. • Purchase of an incorrect plan, provided no service delivery has commenced, and our team has confirmed the same. Refund requests must be raised within 7 days of the triggering event by emailing grievance@getyourca.in. Refunds, once approved, will be processed within 10 business days to the original payment method. No refund will be entertained after services have been delivered, a filing has been submitted, or work has been shared with you.

7.3 Forfeiture

Payments may be forfeited if: • You are unreachable for 30 days after purchase without a valid reason. • You fail to submit required documents within 30 days of purchase without a valid reason. • Your behaviour towards our team or Advisors is unreasonable, abusive, or in violation of these Terms.

8. Data, Privacy, and Confidentiality

8.1 Data Collection and Use

By using the Platform, you consent to the collection, storage, and use of your personal and financial data, including but not limited to your name, PAN, Aadhaar, contact details, financial information, and usage data, for the purpose of providing services, improving the Platform, and complying with legal obligations.

8.2 Data Sharing

Your data may be shared with: • Independent Advisors and professionals engaged to deliver your service. • Third-party service providers and technology partners. • Government authorities or regulators, where required by law. We will not sell your personal data to advertisers or unrelated third parties.

8.3 Data Rights

You have the right to access, update, or request deletion of your personal data, subject to legal and regulatory retention requirements. To exercise your rights, email connect@getyourca.in.

8.4 Security and Confidentiality

While GetYourCA employs reasonable technical and organizational measures to protect your data, no internet-based transmission is completely secure. You are advised to exercise caution when sharing sensitive financial or personal information online. GetYourCA does not guarantee absolute confidentiality or security of data transmitted through the Platform. 9. Intellectual Property

All content, software, trademarks, logos, designs, and materials on this Platform are the property of GetYourCA or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or business compliance purposes only. You must not copy, reproduce, distribute, reverse engineer, or create derivative works from any Platform content without prior written consent from GetYourCA.

10. Prohibited Conduct

You agree not to: • Submit false, misleading, or fraudulent information or documents. • Impersonate any person, entity, or professional. • Attempt to gain unauthorized access to any part of the Platform or its systems. • Use the Platform for any unlawful, fraudulent, or harmful purpose. • Scrape, crawl, or systematically extract data from the Platform without permission. • Interfere with the security, integrity, or performance of the Platform. • Upload malware, viruses, or any malicious code. • Harass, abuse, or threaten GetYourCA staff, Advisors, or other users.

11. Disclaimers and No Warranty

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. GetYourCA expressly disclaims all warranties, including but not limited to: • Accuracy, completeness, or correctness of any filing, document, or output generated through the Platform. • Fitness for a particular purpose or compliance outcome. • Uninterrupted, error-free, or secure operation of the Platform. • Results from engaging any independent Advisor connected through the Platform. You are required to independently review all filings, returns, and documents before submission to any government authority.

12. Limitation of Liability

To the maximum extent permitted by applicable law, GetYourCA, its founders, directors, employees, and partners shall not be liable for: • Any direct, indirect, incidental, special, consequential, or exemplary damages. • Financial loss, tax penalties, interest, fines, or legal consequences arising from use of the Platform or services. • Loss of data, business, revenue, or reputation. • Acts or omissions of independent Advisors or third-party providers. In any event, the aggregate liability of GetYourCA to you for any cause shall not exceed the amount paid by you to GetYourCA for the specific service giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless GetYourCA, its founders, officers, employees, Advisors, and partners from and against any claims, liabilities, damages, losses, penalties, and expenses (including legal fees) arising out of or related to: • Incorrect, false, or misleading information submitted by you. • Your breach of these Terms or applicable law. • Misuse of the Platform or services. • Disputes between you and any independent Advisor or third-party provider. • Unauthorized use of your account.

14. Termination and Suspension

GetYourCA reserves the right to suspend, restrict, or terminate your access to the Platform at any time, with or without prior notice, if: • You breach any provision of these Terms. • We are required to do so by law or a regulatory authority. • Your conduct is harmful to GetYourCA, other users, or third parties. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature survive termination (including indemnification, limitation of liability, and dispute resolution) shall continue to apply.

15. Force Majeure

GetYourCA shall not be held liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to: natural disasters, epidemics or pandemics, government actions or regulations, internet or power failures, cyberattacks, or civil unrest. In such events, GetYourCA will make reasonable efforts to resume services as soon as practicable.

16. Governing Law, Jurisdiction, and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

16.2 Amicable Resolution

In the event of any dispute, the parties shall first attempt to resolve it amicably within 30 days of the aggrieved party raising the issue in writing.

16.3 Arbitration

If the dispute is not resolved amicably within 30 days, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (as amended). Arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or appointed by a competent court in the absence of mutual agreement. The language of arbitration shall be English.

16.4 Jurisdiction

Subject to the arbitration clause above, the courts having jurisdiction where GetYourCA maintains its principal place of business shall have exclusive jurisdiction over any matter arising out of or related to these Terms.

17. Electronic Communication and Consent

By using the Platform, you consent to receive communications from GetYourCA electronically, including by email, SMS, WhatsApp, or through the Platform. Such electronic communications satisfy any legal requirements for written communication. You may opt out of promotional communications at any time by contacting us at connect@getyourca.in. Transactional and compliance-related communications cannot be opted out of while you are an active user.

18. Changes to These Terms

GetYourCA reserves the right to update or modify these Terms at any time. We will endeavour to notify you of material changes via email or a notice on the Platform. Your continued use of the Platform after any update constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.

19. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent authority, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. GetYourCA's failure to enforce any right or provision under these Terms shall not be construed as a waiver of such right or provision.

20. Grievance Redressal

GetYourCA has appointed a Grievance Officer to address user complaints and concerns in accordance with applicable Indian law.
